Strategic median EV/EBITDA moved the opposite direction: 10.9x in 2025, up from 8.0x in 2024. Strategics with synergy theses, supply-chain security needs, and lower cost-of-capital structures than sponsors are paying up for the assets that matter, and they are winning processes against PE that would have outbid them in 2021-2022. Scaled, certified, diversified co-mans with multi-year offtake agreements, SQF/BRC certifications, and capacity to absorb additional volume run 6-9x EBITDA. Top-quartile food and beverage co-mans tied to fast-growing brands — particularly where multi-year offtake stability and brand-adjacent value are credible — approach 9-12x EBITDA in competitive processes. KPMG noted branded CPG deal multiples at approximately 16.2x EV/EBITDA in the first half of 2022; while pure branded CPG multiples have compressed since, contract manufacturers in the F&B and personal care space have held up relatively well in 2025-2026 because of the durable recurring-volume nature of long-term offtake contracts.
Industrial manufacturing — metal fab, contract assembly, custom formulation
Basic metal fabrication and job-shop work in the small-and-medium range trades 4-6x EBITDA. Specialized fabrication with strong recurring OEM relationships, higher utilization, and $5-15M+ EBITDA achieves 6-8x EBITDA, occasionally 8-9x with truly differentiated capabilities. Contract assembly for OEM programs in electro-mechanical assemblies, industrial automation subsystems, and qualified subsystems for regulated end markets clears 6-9x EBITDA depending on stickiness and switching costs. The premium pocket: critical components for OEM machines, robotics, semiconductor equipment, aerospace and defense, and energy-transition technology trades 8-11x+ EBITDA, with mission-critical sole-source or dual-source positions occasionally reaching mid-teens in competitive strategic processes — consistent with RL Hulett's 10.9x strategic median for 2025 industrials.
04 Working capital intensity — the line that moves the effective multiple
Working capital intensity is the line that swings effective multiples by 0.3-0.8 turns on every mid-market manufacturing transaction. Capstone's consumer-industry data, the broader BDO and Lincoln International industrials commentary, and the QoE adjustment patterns we see in our own engagements all converge: buyers either reduce the headline EBITDA multiple, demand tighter working-capital pegs in the SPA, or use higher discount rates in DCF valuation models for businesses carrying elevated working capital.
The mechanism is mechanical. Offshore-dependent manufacturing typically requires longer supplier lead times — driving higher safety stock, higher inventory days, and more capital tied up in goods-in-transit. It carries currency and tariff risk embedded in inventory carrying value. It depends on multi-node logistics that compound forecasting risk. This elevates working capital as a percentage of sales, reduces free-cash-flow conversion from EBITDA, and ultimately depresses the multiple buyers are willing to pay. Onshore production offers shorter lead times, leaner safety stock, better demand responsiveness, less currency volatility in inventory, and greater ability to run JIT inventory practices — supporting higher FCF conversion and therefore higher achievable multiples.
The Caterpillar (CAT) cohort financials illustrate the point at scale. The Federal Funds Effective Rate moved from 5.33% in Q1 2024 to 3.63% in May 2026, a 170 basis-point compression. SOFR tracked the same path, sitting at 3.64% in April 2026. 06 Operating drivers underneath the multiples
Three operating factors explain where a specific mid-market manufacturer lands within the multiple range. Gross margin trajectory rather than level is the first — a 25% gross margin holding flat year-over-year clears at a different multiple than the same 25% compressing 200bp annually under input-cost pressure. The cohort we see clearing at the top of the band has documented gross-margin stability or expansion over the trailing 24 months. Brands with gross margin compression baked into recent history need to show the operational fix — input renegotiation, SKU rationalisation, mix shift toward higher-margin product lines — before a process opens. Our WIP standard-cost variance work is most often what surfaces the lever.
Capex intensity and maintenance backlog is the second. Buyers benchmark against the 4-5% cohort median for capex-as-percentage-of-revenue. Sustained below 3% raises maintenance-backlog concerns that get priced into the QoE adjustment; sustained above 7% raises capex-discipline concerns that get priced into the forward case. Customer concentration and contracted-revenue visibility is the third. Long-term offtake agreements with named counterparties — multi-year MSAs, supply agreements with price-pass mechanisms, dedicated production-line commitments — clear at the top of the band even when concentration is elevated. Spot-market job-shop work without contracted forward visibility sits at the bottom of the band regardless of operating quality.
07 What this means for sellers and buyers in Q2 2026

08 What we are watching into Q3 2026
Three signals matter into Q3 2026. First, whether the strategic-vs-PE multiple spread widens or narrows — if strategics continue paying 1.5-2.0 turns above sponsors, sponsor activity will compress further and processes will increasingly be won by buyers with operational synergies rather than financial engineering. Second, whether the bid-ask gap at the lower-mid-market manufacturing tier (sub-$5M EBITDA) closes — the 24% YoY deal-volume decline is concentrated in this band, and a recovery would signal the broader market is normalising. Third, whether the onshore premium narrows or stabilises — narrowing would imply the tariff-driven supply-chain re-rating is reversing; stabilisation at the current 1.0-1.4 turn level would confirm that onshore production has become the new pricing baseline.
